By engaging with Cardinal Points Technology Group LLC, you agree to the terms governing our technology services, which may include managed IT support, cybersecurity services, cloud administration, infrastructure maintenance, and related consulting. Cardinal Points Technology Group LLC will execute these services in accordance with industry best practices, employing service plans tailored to your business objectives. The specific scope of work, response objectives, and deliverables will be formally outlined in a Service Level Agreement (SLA) or proposal prior to the commencement of services.
Technology service delivery is an ongoing and iterative process. While Cardinal Points Technology Group LLC will provide estimated timelines for onboarding, system assessments, remediation tasks, and expected milestones, these timelines are contingent upon timely communication and access from the client. Delays in providing required credentials, approvals, or environment access may result in corresponding project delays. Some outcomes, especially those involving third-party systems, depend on external factors and cannot be guaranteed within fixed time windows.
Invoices for services are typically structured as monthly retainers unless defined as a distinct project fee. Payment to Cardinal Points Technology Group LLC is due upon receipt of invoice or according to the agreed billing terms prior to the applicable service period. Third-party software licensing, hardware, and platform subscriptions are generally the responsibility of the client and are separate from service fees unless otherwise stated. Failure to remit payment within the applicable grace period may result in temporary suspension of non-critical services until accounts are settled.
For Cardinal Points Technology Group LLC to successfully provision services, the client must provide necessary authorizations, technical assets, and access credentials. The client warrants that they hold the rightful licenses or ownership for all software, data, and materials provided for service delivery. Cardinal Points Technology Group LLC is not liable for infringements or compliance violations stemming from materials or instructions supplied directly by the client.
Either party may terminate the service agreement by providing written notice in accordance with the specific notice period defined in the SLA (typically 30 days unless otherwise agreed). Upon termination, Cardinal Points Technology Group LLC will finalize pending documentation, coordinate transfer of administrative access where applicable, and invoice for any prorated work completed through the date of termination. Cardinal Points Technology Group LLC reserves the right to terminate services immediately if the client engages in unlawful or unethical business practices or violates the terms outlined herein.
